Summary of Benefits:HolidaysAll Full-time Employees, except Project Employees, receive seven paid holidays per year for national holidays recognized by QSE. The seven holidays are New Year's Day, Memorial Day, Independence Day, Labor Day, Thanksgiving Day, the Friday following Thanksgiving Day, and Christmas Day. The specific days of observance will be determined by the employee's current client. Client holidays not recognized by QSE must be taken as Personal Time, Vacation Time, or unpaid leave. Paid Time Off (PTO) All Full-time Employees, except Project Employees, earn PTO. Full-time Employees earn PTO at a rate of .04 an hour of PTO earned per hour worked. Example: 100 hours worked will equal 4 hours of PTO earned. PTO must be taken as time off in the calendar year earned and can only be used with approval by QSE. QSE can deny PTO usage at any time for any employee. PTO must be used for unbillable time while an employee is between projects and will be paid according to the QSE pay schedule. PTO cannot be carried over into the next calendar year. All PTO that is earned but unused in a calendar year will be paid at the end of the calendar year earned. Group Medical Insurance All employees are eligible for group medical insurance. Employees may elect individual or family insurance coverage. QSE will pay 50% of the monthly premium. New employees and their dependents become eligible for coverage on the first day of the month following 30 days of employment. Disability BenefitsQSE carries Workmen's Compensation on all employees. Section 125 Plan QSE is pleased to announce a Section 125 Plan for the benefit of eligible employees. See Section 125 Plan for details. Education ReimbursementAll employees are eligible for education reimbursement after six months of full-time employment with QSE. QSE will reimburse employee for tuition, books, and related fees up to a maximum of $1,000.00 per employment year. Amount of reimbursement is determined by the grade for the class: 100% for an "A", 75% for a "B", 50% for a "C". Reimbursement is contingent upon proof of grade and the rendering of appropriate receipts. Courses must be job-related or part of a job-related degree completion program and must be approved in advance by QSE. Direct DepositAll employees are eligible for direct deposit. If an employee elects direct deposit, funds are deposited directly into the employee's bank account each payday. Employees are paid every other week. Referral Bonus Quality Software Engineering, Inc.'s continued success is attributed to the excellent performance of our consultants. You can provide additional assistance in ensuring that we continue to employ highly qualified consultants. As an information technology professional, you have friends and associates that are also highly proficient information technology professionals. If you assist us in recruiting these individuals as QSE employees, you will be eligible to receive a referral bonus in appreciation of your contribution. We highly respect your industry knowledge and are confident that you will only personally recommend candidates who will maintain our reputation for excellent performance. Therefore, if you refer a candidate, and you will personally provide a professional reference for this candidate, you will be eligible to receive a $1,000.00 referral bonus. If you refer candidate who you do not personally know, you will still be eligible to receive a $200.00 referral bonus Referral bonuses will be paid under the following conditions: 1. The candidate referred must not have contacted QSE, or been contacted by QSE, within the last 12 months. 2. The candidate referred must not be an employee of a QSE client. 3. The candidate referred must be hired by QSE within 12 months of the date the referral is accepted by QSE. 4. The candidate referred must remain an employee of QSE for I month. Section 125 Plan DetailsSection 125 Plan Description:Quality Software Engineering, Inc. is pleased to announce a Section 125 Plan for the benefit of eligible employees. The plan is called a Section 125/Cafeteria Plan because it allows you to choose welfare benefits. You may choose to receive your full salary or you may choose to apply part of your pay before income taxes are withheld towards your share of the cost of the benefits you select. This announcement lists the benefits which you might select, describes the basic feature of the plan, tells you how the plan can benefit you and includes your rights under the federal law. It is only a summary of the plan, it is not part of the official plan documents. Plan provisions not included in this summary may affect your rights under the plan. If there is a conflict between this summary and the official plan documents, the plan documents will govern. Refer to the plan documents for answers to any question as to your rights under the plan. Copies of plan documents are available for inspection at Quality Software Engineering, Inc., 5640B Telegraph Road, #202, St. Louis, MO 63129. Section 125 General InformationThe name of the plan is Quality Software Engineering, Inc. - Section 125 Plan. This plan covers eligible employees of Quality Software Engineering, Inc., the plan sponsor. The employer's address is: 5640B Telegraph Road, #202, St. Louis, MO 63129. The plan identification number is 501. The employer s tax identification number is 43-1617814. This plan is a Section 125 Salary Reduction Plan through which you can choose to have your employer apply part of your earnings before they are taxed to you. This amount will then be applied to pay the premiums for one or all of the insurance policies described below. Section 125 Major Medical/Dental BenefitsThis plan is strictly a Salary Reduction Plan. It does not provide any of the benefits listed. The benefits are provided under plans designed to offer welfare benefits. Their terms and conditions of coverage are governed by the appropriate welfare benefit contract and not by this plan. The plan administrator is Quality Software Engineering, Inc. located at 5640B Telegraph Road, #202, St. Louis, Missouri 63129. The plan administrator is the agent for service of legal process. The plan year is twelve consecutive months beginning on January 1st each year. The plan's effective date is January 1, 1995. Section 125 Plan Eligibility And ParticipationCommencement Of Participation: With respect to the benefits available under this plan, each employee shall be eligible to participate in the plan as to such benefit upon his satisfaction of the conditions for eligibility set forth in the policy or plan providing the benefits. An employee will become a participant on the later of (a) the effective date or (b) the date he becomes eligible to participate under the preceding sentence. Cessation Of Participation: A participant will cease to be a participant as of the earlier of (a) the date on which the plan terminates or (b) the date on which he ceases to be an employee eligible to participate under the preceding paragraph. Plan Elections: Under this plan, you may elect benefits listed under "General Information." Your pay will be reduced by the amount of your share of the cost of the benefits you select. Your employer contributes an amount equal to the amount of your salary reduction to the cost of those benefits. The employer pays the balance of the benefits' cost. Election Procedure: About thirty days before each plan year begins, the plan administrator will provide you with a written election form for this salary reduction plan. By selecting any of the optional benefits listed under "General Information," you agree to a salary reduction equal to your share of the cost of each benefit you choose. You must specify your choice on the election form to the plan administrator no later than the date the plan administrator specifies, but this date cannot be after the beginning of the first pay period for which the election applies. Your salary reduction election is effective on the first day of the plan year. Employees who become eligible to participate in the middle of a plan year may elect to participate for the remainder of the plan year. If the cost of the benefits you selected changes during the plan year, the administrator will automatically adjust the amount of your salary reduction. The plan administrator does not need your consent to make this adjustment. Failure To Elect: If you do not return a completed election form to the plan administrator on or before the due date for the first year you are eligible, the plan administrator will deem that you choose to receive your full compensation in cash. If you do not return a completed election form to the plan administrator on or before the due date for later plan years, your prior year's election remains in force. Election Irrevocability: You cannot change your election or the amount of your salary reduction during a plan year. The only exceptions allowed are those required by a change in your family status. Your marriage, divorce, death of your spouse or child, birth or adoption of a child, switching employment status from part-time to full-time or from full-time to part-time by you or your spouse, the taking of an unpaid leave of absence by you or your spouse or other event that the Internal Revenue Service allows under this type of plan qualify as changes in family status. The plan administrator decides whether a change is allowed and determines the effective date of any change, which cannot be before the first pay period following the day the plan administrator received your completed election form Automatic Termination: Elections made under this plan terminate automatically on the date you are no longer a plan participant. Coverage or benefits under other plans the employer provides may continue, depending on the terms or the contracts governing those plans. Your Rights As A Participant of the Section 125 PlanAs a participant in the plan you are entitled to certain rights and protections under the Employee Retirement Income Security Act of 1974 (ERISA). ERISA provides that all plan participants be entitled to: 1. Examine, without charge, at the plan administrator's office, all plan documents, including copies of all documents filed by the plan with the U.S. Department of Labor, such as detailed annual reports and plan descriptions. 2. Obtain copies of all plan documents and other plan information upon request to the plan administrator. The plan administrator may make a reasonable charge for the copies. 3. Receive a summary of the plan's annual financial report. The plan administrator is required by law to furnish each participant with a copy of this summary of the plan's annual report. In addition to creating rights for plan participants, ERISA imposes duties upon the people who are responsible for the operation of the employees benefit plan. The people who operate your plan, called "fiduciaries" of the plan have a duty to do so prudently and in the interest of you and other plan participants and beneficiaries. No one, including your employer or any other person, may terminate your employment or otherwise discriminate against you in any way to prevent you from obtaining plan benefits or exercising your rights under ERISA. If it should happen that plan fiduciaries misuse the plan's money, or if you are discriminated against for asserting your rights, you may seek assistance from the U.S. Department of Labor, or you may file suit in a federal court. The court will decide who should pay court costs and legal fees. If you lose, the court may order you to pay these costs and fees (e.g. the court finds your claim is frivolous). If you have any questions about your plan, you should contact the plan administrator. If you have any questions about this statement or about your rights under ERISA, you should contact the nearest area office of the U.S. Labor-Management Services Administration, Department of Labor. Additional Section 125 Plan InformationPlan Amendment And Termination: The employer intends this plan to be permanent, but reserves the right to amend or terminate this plan at any time. Benefits And Claims Of Creditors: Plan benefits are not
subject to the claims of your creditors, to the extent
the law permits. The plan does not permit assignment or
